Module 07 · Operations

What the supplier promised in the RFx becomes a tracked obligation

Contracts is iProcure's buy-side contract module. An award becomes a contract draft carrying the supplier, prices, terms and everything the supplier committed to in the RFx, each commitment a tracked obligation. Approved templates and clauses, negotiation with a full version history, renewal alerts and an append-only audit trail sit in one secure repository.

The problem it removes

What breaks today

Nothing promised in the RFx becomes an obligation

The supplier committed to a 24-month warranty and a 35-day lead time. Neither is written into the contract, and nobody tracks either.

Leakage

Rebates, penalties and price revisions promised in the RFx are never claimed, because nobody knows which contract holds them.

Redlines by email attachment

v3_final_FINAL.docx. Which changes are the vendor's, which are ours, and who accepted what?

Renewals arrive as a surprise

An annual contract renews at last year's rate because the expiry date lived in one person's calendar.

What you get

Contracts in iProcure

01

Award continuity

The draft is created from the award, and what the supplier committed to, such as warranty, service levels and lead times, becomes a schedule of tracked obligations. Nothing is retyped.

02

Approved language, for the right jurisdiction

Start from templates and clauses your legal team has approved, for the right governing law and language. Updating a clause never changes a contract already signed.

03

Negotiation you can follow

See which changes are yours and which are the supplier's, decide clause by clause and compare versions. You'll see a full negotiation round in the demo.

04

Obligations and renewals

Deliverables, milestones and renewal dates from every active contract, each with an owner and an alert. An expiring contract prompts a decision: extend, renegotiate or go back to market.

05

Confidentiality your auditors will like

Restricted records hidden even from admins, every view logged, watermarked downloads and an append-only audit trail. Emergency access is possible, but always with a recorded reason.

Honest status

What you can use today, and what you can see in the demo

FAQ

Questions about contracts

Is this a full contract lifecycle management product?

No, and we do not claim one. Contracts is a buy-side module, on the roadmap and shown on sample data today. Sell-side contracts are out of scope. If you need a shipped CLM with portfolio intelligence now, a dedicated CLM vendor is the right choice. Our lead is the unbroken thread from RFx commitment to tracked obligation.

Can I bring in the contracts we already have?

That is coming next: a bulk import from wherever your contracts live today. AI reads each contract and pulls out the key terms, such as parties, dates, value and renewal, each one cited to its source. Anything it is unsure of goes to a person for review, never accepted silently.

How is signing handled?

Signing is coming next, through the e-signature providers and signature levels each region expects. The level a contract needs is set by your policy, by contract type and governing law, rather than left to whoever sends it, so every signed contract meets the standard its jurisdiction expects.

Can I use Contracts if my RFx runs elsewhere?

Yes. Every module stands alone, and a contract can also start from a request, so an award is optional. What you lose without the eRFx module is award continuity: the supplier's RFx commitments arriving as tracked obligations without being retyped. The demo shows that thread from end to end.
